Welcome to WMSY Studio! Before we begin our journey together, here’s a simple and straightforward outline of how we work. These terms are designed to ensure a seamless, inspiring experience for both of us. By working with WMSY Studio, you agree to the following:

The Basics

  • Who We Are: WMSY Studio is a boutique website design and development studio specializing in creating bespoke, high-quality websites for visionary product-based brands.

  • What We Do: We turn your big ideas into custom digital spaces that bring your vision to life, with every detail designed with intention and optimized for conversion.

  • How We Work: Every project is a collaboration. We’ll partner with you to bring your brand’s story to life, but we need your engagement and timely feedback to keep the magic flowing. We understand your time is valuable, and we're committed to ensuring that every interaction is purposeful and worthwhile.

Payments

  • All services require a deposit of half of the total initial project cost. Your payment secures your spot in our calendar and allows us to dedicate our full energy and attention to your project. The final payment will be due upon completion of the project and before you officially launch your new website.

  • Payments are processed through our secure online checkout system. We accept all major credit cards and other payment methods as indicated during checkout.

Refund Policy

We’re dedicated to delivering incredible results, and we want you to feel confident in your investment. Here’s our refund policy:

  • Non-Refundable Payment: All payments are non-refundable. This covers project preparation, reserved time, and our commitment to delivering your custom design.

  • Cancellation Policy:

    • Before Work Begins: If you cancel before work starts, we may issue a partial refund at our discretion. We’ll retain a portion of the payment (e.g., 25-30%) to cover administrative and reservation costs.

    • After Work Begins: If you cancel after work has started, no refunds will be issued. Any completed work up to the cancellation point will be provided to you, if applicable.

  • No Refunds for Completed Work: Once your final deliverables are approved and sent, no refunds will be issued.

  • Project Delays: If your project is delayed due to a lack of communication or feedback for over 30 days, the project will be considered abandoned. No refunds will be issued, and reactivation will require an additional fee.

  • Revisions & Satisfaction: We’ll work hard to incorporate your feedback during the design process. One revision is included for your branding suite and one revision is included for your website design. Additional revisions will incur a fee. Refunds will not be issued for dissatisfaction once milestones or deliverables have been approved.

  • Special Circumstances: Refunds due to unforeseen emergencies or exceptional situations will be considered on a case-by-case basis.

Your Role in the Process

  • Timely Feedback: To keep your project on track, we require your feedback within the agreed timelines. Delays in communication can impact your project’s timeline and completion.

  • Content Submission: Any content (like text, images, or branding assets) you need included must be provided by the agreed deadline. Missing deadlines can delay your project or result in additional fees.

Our Commitments

  • Design with Intention: Every detail of your project will be crafted with care and intention to align with your vision.

  • Communication: We’ll keep you updated throughout the process and ensure you know what’s happening every step of the way.

  • Timely Delivery: We’ll meet agreed deadlines, provided we receive the required feedback and materials from you on time.

Ownership & Rights

  • Once your project is completed and final payment is made, you’ll have full ownership of your website and deliverables.

  • WMSY Studio reserves the right to showcase your project in our portfolio, on social media, or for promotional purposes, unless we agree otherwise in writing.

Legal Stuff

  • WMSY Studio is not responsible for any losses or damages that may arise from the use or operation of your website.

  • All projects are completed based on the agreed scope of work. Any additional requests outside of the original scope will require a separate agreement and additional payment.

These Terms and Conditions ("Agreement") govern the relationship between WMSY Studio ("Studio," "we," "us," or "our") and both our clients and website users ("you" or "your"). By engaging our services or using our website (the "Site"), you agree to the terms outlined below.

1. Use of the Site

1.1. Access: You may access and use the Site for informational purposes, to purchase services, or to engage with our content.

1.2. Prohibited Activities: You agree not to:

  • Use the Site for unlawful purposes.

  • Attempt to gain unauthorized access to the Site, its servers, or networks.

  • Copy, distribute, or modify content from the Site without our written permission.

  • Introduce viruses, malware, or any other harmful material.

1.3. Account Creation: If the Site requires account registration, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials.

2. Intellectual Property

2.1. Site Content: All content on the Site, including text, graphics, logos, images, and code, is the exclusive property of WMSY Studio or its licensors and is protected under copyright, trademark, and other intellectual property laws.

2.2. Limited License: We grant you a non-exclusive, non-transferable, revocable license to use the Site for personal, non-commercial purposes. You may not copy, reproduce, or exploit any content without express permission.

2.3. Third-Party Content: The Site may include links to third-party websites. We are not responsible for the content, accuracy, or practices of such sites.

3. Services

3.1. Scope of Services: WMSY Studio provides website design and development services as described on the Site or in service agreements.

3.2. Payment: A deposit of half the initial project cost is required upfront for all services. For details, see our Refund Policy in Section 5.

4. User-Generated Content

4.1. Submissions: If you submit content to the Site, such as comments or testimonials, you grant WMSY Studio a non-exclusive, royalty-free, perpetual license to use, modify, and display such content for promotional purposes.

4.2. Responsibility: You are solely responsible for the content you submit and agree not to post anything unlawful, defamatory, or infringing on third-party rights.

5. Refund Policy

5.1. Non-Refundable Payment: Payments for services are non-refundable.
5.2. Cancellation:

  • Before Work Begins: Partial refunds may be issued at our discretion, retaining 25-30% of the total fee for administrative and reservation costs.

  • After Work Begins: No refunds will be issued once work has started. Completed work up to the cancellation point will be delivered, if applicable.
    5.3. No Refunds for Completed Work: Refunds are not provided for approved deliverables.
    5.4. Abandoned Projects: Projects delayed due to client inaction for 30+ days are deemed abandoned. Reactivation requires an additional fee.
    5.5. Special Circumstances: Refunds for emergencies or exceptional situations are considered case-by-case at our discretion.

6. Privacy

6.1. Data Collection: By using the Site, you consent to our collection and use of personal information as described in our Privacy Policy.
6.2. Third-Party Tools: The Site may use third-party tools to collect data for analytics or marketing purposes.

7. Limitation of Liability

7.1. WMSY Studio is not liable for:

  • Errors, delays, or interruptions in the use of the Site or delivery of services.

  • Indirect, incidental, or consequential damages arising from your use of the Site or services. 7.2. Our total liability under this Agreement will not exceed the total fees paid by you for our services.

8. Dispute Resolution

8.1. Any disputes arising from this Agreement will first be resolved through good faith negotiation.
8.2. If resolution is not reached, disputes will be subject to the exclusive jurisdiction of the courts in California, USA.

9. Termination

9.1. We reserve the right to terminate or restrict your access to the Site or services if you violate these Terms.

10. Modifications

10.1. We may update these Terms at any time. Continued use of the Site or services after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

11.1. This Agreement is governed by the laws of California, USA, without regard to its conflict of law principles.
